These terms and conditions ("Agreement") govern the sale of wholesale and custom candles ("Products") by Finley Candles, ("Seller") to the buyer ("Buyer"). By placing an order with Seller, Buyer agrees to be bound by these terms and conditions.

1. Orders and Acceptance

1.1 Order Placement: All orders for wholesale and custom candles must be submitted via email or through Finley Candles' website, as applicable. Custom orders must include details such as fragrance, color, design specifications, and any other special requests.
1.2 Order Confirmation: Finley Candles will confirm all orders via Email. Seller reserves the right to reject any order, including custom orders, at its sole discretion, for reasons including but not limited to insufficient stock, manufacturing constraints, or design feasibility.
1.3 Minimum Order Requirements: The minimum order for wholesale and custom candles is 1 case  (24 candles). Orders below this threshold may be subject to additional charges or refusal.
1.4 Quote: Once submission is received, Seller will reach out via Email with a quote for your custom order.

2. Pricing and Payment

2.1 Pricing: All prices are quoted in USD and exclude shipping, taxes, and other fees unless otherwise stated. Prices for wholesale candles may vary based on order volume. Custom candle prices may be subject to design complexity and additional customization charges.
2.2 Payment Terms: Payment terms are [Net 30 / 50% deposit required upon order, remaining balance due after Buyer approval, prior to shipment, etc.]. Custom orders require a non-refundable deposit of [50%] before work begins.
2.3 Late Payments: Late payments will incur a [percentage] fee per month on any overdue balance, and Buyer may be subject to credit restrictions or order cancellations.

3. Shipping and Delivery

3.1 Shipping Costs: Shipping costs are the responsibility of the Buyer unless otherwise agreed.
3.2 Shipping Method: Seller will choose the shipping carrier and method unless the Buyer specifies a preferred carrier.
3.3 Delivery Delays: Seller is not responsible for delays caused by third-party carriers, customs, or other external factors. Buyer will be notified promptly of any expected delays.
3.4 Risk of Loss: The risk of loss or damage to Products passes to Buyer once the Products are shipped.

4. Returns, Damages, and Cancellations

4.1 Returns: Wholesale and custom orders are final sale and cannot be returned unless the Products are damaged or defective upon arrival. Buyer must notify Seller within [X] days of receipt of any damage or defects.
4.2 Damages: If Products arrive damaged, Buyer must provide photographic evidence within [X] days of receipt for a replacement or refund.
4.3 Cancellations: Custom orders may only be canceled before production begins and may be subject to a cancellation fee if work has already started. Wholesale orders may be canceled, subject to Seller's approval and potential cancellation fees.
4.4 Refunds: Refunds for damaged or defective goods will be issued after the return process is completed, and Seller confirms the damage or defect. Refunds for custom orders may not be applicable unless the goods are proven to be faulty or not as ordered.

5. Intellectual Property

5.1 Trademarks and Copyrights: All logos, designs, and branding related to Seller’s Products, including custom designs, are the intellectual property of Seller. Buyer agrees not to use Seller’s intellectual property without written consent.
5.2 Custom Designs: Custom designs created by Seller for the Buyer are considered intellectual property of Seller unless agreed otherwise in writing. Buyer is granted a non-exclusive license to use custom designs solely for resale of the Products.

6. Dispute Resolution

In the event of a dispute, the parties agree to attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved amicably, it will be submitted to [Arbitration/Mediation] in [City, State].

7. Changes to Terms and Conditions

Seller reserves the right to modify these terms and conditions at any time. Changes will be communicated to Buyer, and the revised terms will apply to all subsequent orders.
